There are an array of entities under which a Colorado business may be formed including corporations, limited liability companies, and several types of partnership. Each entity form has its own set of advantages and disadvantages in the areas of taxation, exposure to liability, management and control, and ownership issues such as business succession or dissolution. For clients beginning or expanding a business, we assist with entity formation, including advising clients on the type of entity that will best meet their needs and preparing and filing all the necessary documents to organize the entity in compliance with applicable laws. 

 

We assist with incorporation and business entity formation, the negotiation, drafting, and review of contracts, human resource matters, and helping to structure and execute transactions that promote the growth and success of our clients’ businesses. Our expertise includes general business contracts, complex multi-party agreements, commercial leases, shareholder buy-sell agreements, asset purchase agreements, stock sale agreements, conversion plans, policies and procedures, operating agreements, bylaws, confidentiality/non-disclosure agreements, and liquidation and dissolution.

 

Given the multitude of contracts, regulatory, and operational issues the average business deals with on a daily basis, it is inevitable that disputes will arise, sometimes requiring litigation or other legal means to resolve. When disputes do arise, it is vital that the matter be resolved favorably yet also quickly and efficiently, without diverting too much time, money and attention of the business owner from the company's primary functions.  We work with our clients to find practical and economical ways to resolve disputes so they can focus on their business rather than time consuming and expensive legal proceedings.

Wills and Probate

Probating a will or distributing an estate through the laws of intestate succession can be an expensive and time-consuming process. Assets must be identified and collected, creditors notified, and all claims against the estate must be settled before the property can be distributed to the lawful heirs or beneficiaries. Meanwhile, will challenges and contests can arise, or parties may bring claims against the personal representative for failing to perform required fiduciary duties. We handle all manner of estate administration and probate litigation to promote and protect our client's best interests, and also assist clients in the preparation of wills, powers of attorney and advance medical directives.
