There are an array of entities under which a Colorado business may be formed, including corporations, general partnerships, limited partnerships, limited liability companies, limited liability partnerships, and limited liability limited partnerships. Each corporate form has its own set of advantages and disadvantages in the areas of taxation, exposure to liability, management and control, and ownership issues such as business succession or dissolution. For clients beginning or expanding a business, we assist with entity formation, including advising clients on the type of entity which will best meet their needs and preparing and filing all the necessary documents to organize the entity in compliance with applicable laws.
Throughout the life of a business, we are prepared to assist in the negotiation, drafting, or review of contracts, helping to structure and execute transactions that promote the growth and success of our client's business.
Given the multitude of contracts and contacts the average business deals with on a daily basis, it is inevitable that disputes will arise, sometimes requiring litigation or other legal means to resolve. When disputes do arise, it is vital that the matter be resolved favorably yet also quickly and efficiently, without diverting too much time, money and attention of the business owner from the company's primary functions. We represent parties in breach of contract actions and employment matters, as well as business torts claiming unfair business practices, deceptive trade practices, or various types of fraud.
Whether buying, selling, leasing, or developing, real estate transactions represent a significant investment of time, money and effort on the part of the people involved. A dispute or barrier can arise at any stage of the transaction, threatening to derail the entire project. We utilize our business and real estate legal background to help assure that the deal goes through, and to provide strong, effective representation when necessary. From land use planning and obtaining zoning variances to property disputes involving easements and borders, suits to quiet title, or breach of contract claims for money damages or specific performance, we aid in transactions, litigation, and administrative proceedings as necessary to help our clients achieve their goals.
Wills and Probate
Probating a will or distributing an estate through the laws of intestate succession can be an expensive and time-consuming process. Assets have to be identified and collected, creditors have to be notified, and all claims against the estate must be settled before the property can be distributed to the lawful or intended heirs or beneficiaries. Meanwhile, will challenges and contests can arise, or parties may bring claims against the personal representative for failing to perform required fiduciary duties. We handle all manner of probate and estate litigation to promote and protect our client's best interests, and also assist clients in the preparation of wills, powers of attorney and advance medical directives.
